Terms of Service

Welcome to Fellow! These Terms of Service ("Terms") constitute a legally binding agreement between you and Fellow ("Company," "we," "us," or "our") governing your access to and use of the Fellow mobile application and related services (collectively, the "Service"). These Terms also serve as an End User License Agreement (EULA) for the Fellow application.

By creating an account, accessing, or using Fellow, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

  1. Eligibility

1.1 Age Requirements
You must be at least 13 years old to use Fellow. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use the Service with the consent of your parent or legal guardian, who must agree to these Terms on your behalf.

1.2 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

1.3 Accurate Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

  1. Description of Service

Fellow is a social networking platform that enables users to:

Connect with Others: Follow other users, build your network, and discover content
Create and Share Content: Post text, images, and videos to share with your followers
Join Communities (Circles): Participate in public, private, or secret communities organized around shared interests
Communicate (Lines): Engage in direct messaging and group conversations
Organize Events: Create, manage, and RSVP to events within the platform
Create Groups: Organize members within Circles into smaller groups
Subscribe to Premium Content: Access paid Circle subscriptions from creators

  1. User Accounts

3.1 Account Types

Individual Accounts: Free accounts available to all eligible users.

Organization Accounts: Free accounts available to all eligible organizations.

Organization Premium Accounts: Premium accounts for businesses, nonprofits, and other organizations. Organization accounts require:

• A paid subscription ($9.99/month or $99/year)
• Email verification
• Additional organization information

3.2 Account Registration
To create an account, you must:

• Verify your phone number
• Provide a valid email address and password
• Choose a unique username (5-30 characters, alphanumeric and underscores only)
• Complete your profile with required information

3.3 Username Policy
Usernames must be unique and may not:

• Impersonate other individuals or entities
• Contain offensive, vulgar, or inappropriate language
• Infringe on trademarks or intellectual property rights
• Mislead other users

We reserve the right to reclaim or reassign usernames at our discretion.

3.4 Account Security
You are responsible for:

• Maintaining a secure password (minimum 8 characters)
• Not sharing your account credentials
• Enabling appropriate security features
• Logging out from shared devices

  1. User Content

4.1 Your Content
"User Content" means any content you create, upload, post, share, or transmit through the Service, including but not limited to text, images, videos, comments, messages, event information, and profile information.

4.2 Content Ownership
You retain ownership of your User Content. By posting User Content, you grant Fellow a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Service.

4.3 Content Representations
You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate the rights of any third party
• Your User Content complies with these Terms and all applicable laws

4.4 Content Removal
We may, but are not obligated to, review, monitor, or remove User Content at our sole discretion. We may remove content that violates these Terms or that we find objectionable.

  1. Acceptable Use Policy

5.1 Prohibited Content
You may not post, upload, or share content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy
• Contains hate speech or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin
• Is sexually explicit, pornographic, or exploits minors
• Promotes violence, terrorism, or dangerous activities
• Contains malware, viruses, or harmful code
• Is spam, misleading, or deceptive
• Infringes intellectual property rights
• Violates the privacy rights of others
• Contains false information or misinformation

5.2 Prohibited Conduct
You may not:

• Use the Service for any illegal purpose
• Harass, bully, stalk, or intimidate other users
• Impersonate any person or entity
• Collect or harvest user information without consent
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to the Service or other accounts
• Use automated means (bots, scrapers) to access the Service without permission
• Circumvent any access restrictions or security measures
• Sell, transfer, or assign your account
• Use the Service for commercial purposes without authorization

5.3 Reporting Violations
Users can report content that violates these Terms. Reports may be submitted for:

• Spam or misleading content
• Harassment or hate speech
• Violence or dangerous content
• Nudity or sexual content
• False information
• Intellectual property violations
• Other violations

We review reports and may take action including content removal, warnings, or account suspension.

  1. Circles (Communities)

6.1 Circle Types

• Public Circles: Visible to all users; anyone can join
• Private Circles: Visible to all users; membership requires approval
• Secret Circles: Only visible to members; membership by invitation only

6.2 Circle Ownership and Administration
Circle owners and administrators are responsible for:

• Managing membership and enforcing circle rules
• Moderating content within their circle
• Setting appropriate visibility and access controls
• Complying with these Terms

6.3 Member Limits
Circles may have up to 250,000 members. We may adjust limits based on platform capacity and performance.

6.4 Circle Content
Content posted within circles remains subject to these Terms. Circle owners may establish additional rules, but such rules may not conflict with these Terms.

  1. Lines (Messaging)

7.1 Direct and Group Messaging
Lines enable private communication between users. Messages may include text, images, videos, polls, and links.

7.2 Participant Limits
Lines may have up to 10,000 participants.

7.3 Message Retention
Messages are retained until deleted by users or until account deletion. We may retain messages as required by law.

7.4 Privacy Expectations
While we implement security measures, we cannot guarantee the absolute security of messages. Do not share sensitive personal information through Lines.

  1. Events

8.1 Event Creation
Users may create events that are:

• Public: Visible and open to all users
• Private: By invitation only
• Circle-Only: Limited to specific Circle members

8.2 Event Limits

• Free users: Up to 100 RSVP capacity
• Premium users: Unlimited capacity
• Co-hosts: Up to 10 per event
• Guest invitations: Up to 500 per event

8.3 Event Responsibilities
Event creators are responsible for:

• Providing accurate event information
• Managing RSVPs and guest lists
• Communicating changes or cancellations
• Ensuring events comply with these Terms and applicable laws

  1. Premium Subscriptions

9.1 Organization Premium Subscription
Organization accounts require a paid subscription:

• Monthly: $9.99/month
• Annual: $99/year

9.2 Payment Processing
Premium subscriptions are processed through the Apple App Store or Google Play Store. Payments are subject to the terms and policies of the respective app store.

9.3 Subscription Renewal
Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. You may manage subscriptions through your device's app store settings.

9.4 Refunds
Refund requests are handled according to Apple App Store and Google Play Store policies. We do not directly process refunds for in-app purchases.

9.5 Price Changes
We may change subscription prices with notice. Price changes will apply to subsequent billing periods.

  1. . Circle Monetization

10.1 Paid Circle Subscriptions
Circle owners may offer paid subscriptions to access exclusive content. Subscription prices range from $1 to $999 per month.

10.2 Platform Fees
Fellow retains a platform fee of 15% of subscription revenue. The remaining 85% is paid to Circle owners.

10.3 Payment Processing
Circle monetization is processed through Stripe. Circle owners must establish a Stripe Connect account to receive payments.

10.4 Subscriber Rights
Circle subscribers receive access to exclusive content for the duration of their subscription. Subscriptions auto-renew unless cancelled.

10.5 Creator Responsibilities
Circle owners who monetize must:

• Provide value consistent with subscription pricing
• Comply with all applicable tax laws
• Not engage in fraudulent or deceptive practices
• Maintain content that complies with these Terms

10.6 Disputes
Payment disputes between subscribers and Circle owners should first be addressed directly. Fellow may mediate but is not responsible for resolving disputes.

11. Intellectual Property

11.1 Fellow's Intellectual Property
The Service, including its design, features, functionality, and content created by Fellow, is owned by Fellow and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

11.2 Trademarks
"Fellow" and associated logos are trademarks of Fellow. You may not use our trademarks without prior written consent.

11.3 Copyright Complaints
If you believe content on Fellow infringes your copyright, please contact us with:

• Identification of the copyrighted work
• Identification of the infringing content
• Your contact information
• A statement of good faith belief
• A statement of accuracy under penalty of perjury
• Your physical or electronic signature

12.1 Privacy Policy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share your information.

12.2 Data Collection
We collect information including:

• Account information (phone number, email, name, username)
• Profile information (photo, bio, website)
• User Content you create
• Usage data and analytics
• Device information and push notification tokens
• Payment information (processed by third parties)

12.3 Third-Party Services
The Service integrates with third-party services including:

• Firebase (Google): Authentication, database, storage, and cloud functions
• Stripe: Payment processing for Circle subscriptions
• Apple/Google: In-app purchases and subscription management
• Expo: Push notifications and device services

These services have their own privacy policies and terms.

  1. Account Termination

13.1 Termination by You
You may delete your account at any time through the app settings. Account deletion is permanent and removes:

• Your profile and all account data
• All posts, comments, and messages you created
• Your followers and following relationships
• All Circle and Line memberships
• All associated media files

13.2 Termination by Fellow
We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Create risk or legal exposure for Fellow
• Have an account that has been inactive for an extended period

13.3 Effect of Termination
Upon termination:

• Your license to use the Service ends immediately
• We may retain certain information as required by law
• Provisions that should survive termination will remain in effect

14.1 "As Is" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14.2 No Guarantees
We do not guarantee that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors will be corrected
• The Service will meet your requirements

14.3 Third-Party Content
We are not responsible for content posted by users or third parties. User Content represents the views of its authors, not Fellow.

14.4 External Links
The Service may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or availability of external sites.

  1. Limitation of Liability

15.1 Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FELLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Unauthorized access to or alteration of your content
• Statements or conduct of any third party on the Service
• Any other matter relating to the Service

15.2 Cap on Liability
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

15.3 Jurisdictional Limitations
Some jurisdictions do not allow limitations on implied warranties or liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Fellow and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

  1. Dispute Resolution

17.1 Informal Resolution
Before filing a formal dispute, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

17.2 Arbitration Agreement
Any dispute not resolved informally shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if they qualify.

17.3 Class Action Waiver
YOU AND FELLOW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

17.4 Opt-Out
You may opt out of the arbitration agreement by sending written notice within 30 days of first accepting these Terms.

  1. General Provisions

18.1 Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

18.2 Entire Agreement
These Terms constitute the entire agreement between you and Fellow regarding the Service and supersede all prior agreements.

18.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

18.4 Waiver
Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

18.5 Assignment
You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

18.6 Notices
We may provide notices through the app, email, or other reasonable means. Notices to us should be sent to our contact information below.

18.7 Force Majeure
We shall not be liable for any failure or delay resulting from circumstances beyond our reasonable control.

  1. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes through the app or by email. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

  1. Additional Terms for Apple App Store Users

If you downloaded Fellow from the Apple App Store, the following additional terms apply:

21.1 Acknowledgment
You acknowledge that these Terms are between you and Fellow only, not with Apple, and Fellow is solely responsible for the Service and its content.

21.2 Scope of License
Your license to use Fellow is limited to a non-transferable license to use the app on Apple-branded products you own or control, as permitted by the App Store Terms of Service.

21.3 Maintenance and Support
Fellow is solely responsible for providing maintenance and support services for the app.

21.4 Warranty
Fellow, not Apple, is responsible for any product warranties, whether express or implied by law.

21.5 Product Claims
Fellow, not Apple, is responsible for addressing any claims relating to the app or your use of it.

21.6 Intellectual Property
In the event of any third-party intellectual property claim, Fellow, not Apple, will be solely responsible for investigation, defense, settlement, and discharge.

21.7 Legal Compliance
You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. government prohibited or restricted party list.

21.8 Third-Party Beneficiary
Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

  1. Additional Terms for Google Play Store Users

If you downloaded Fellow from the Google Play Store, Google Play's terms of service apply to your use of the app in addition to these Terms.


By using Fellow, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
